Terms & Conditions
Scope of Services: Priority Soft LLC ("Company") agrees to provide mobile development and design services ("Services") to the client ("Client") as per the requirements and specifications mutually agreed upon. The Services shall be rendered in exchange for pre-purchased hours by the Client from the Company.
Purchase of Hours and Non-refundable Policy: The Client agrees to purchase a specific number of hours for the execution of the Services. These hours are non-refundable, except under the condition where the Company fails to initiate communication or respond to the Client within sixty (60) calendar days from the Client’s last communication attempt. In such a case, the Client is entitled to a refund for the purchased but unused hours.
Utilization of Purchased Hours: The purchased hours shall be exclusively used for the execution of Services agreed upon between the Company and the Client. The scope of work to be executed under these hours shall be defined and agreed upon by both parties prior to the commencement of the Services.
Agreement on Work: Before utilizing the pre-purchased hours, both parties (the Company and the Client) must agree in writing on the specific work to be carried out. This agreement shall include, but is not limited to, the nature of the work, the number of hours allocated for each task, deliverables, and deadlines.
Changes in Scope: Any changes to the agreed scope of work, including additional hours, must be mutually agreed upon in writing. Additional hours, if required, will be billed separately and are subject to the same terms and conditions as the original purchase of hours.
Limitation of Liability: The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, incurred by the Client or any third party, whether in an action in contract or tort, even if the Company has been advised of the possibility of such damages.
Governing Law: These terms and conditions shall be governed by and construed in accordance with the laws of Delaware, United States.
Amendment: These terms and conditions may be amended or updated by the Company from time to time. It is the responsibility of the Client to review these terms and conditions periodically.
